The seal of an organization has a dual meaning - it is a tool that allows you to confirm the authenticity of a document, and an imprint that is obtained from this tool.

The sealing of contracts, the confirmation of the authenticity of letters, documents with a seal left us as a legacy in the form of traditions originating from the most ancient civilizations - Sumerian, Egyptian, ancient Indian, etc. The first seals are brands on animals and people. These brands were placed on the skin with special devices, often red-hot. With the development of social relations, methods of confirming ownership also developed. Sometimes the relationship between states and / or people (princes, merchants) was sealed by written agreements, which were certified by a personal seal of a person or a seal of the state.

The purpose of printing in our time is to confirm the authenticity of documents. The imprint is placed on the front side of the document sheet. Now the press as a tool is made of metal, rubber, plastic. Previously, seals were carved from soft stone (soap, jade), ivory, metal (lead, tin, copper), wood, etc. The seal placed on the ring is called a signet.

In the Civil Code (CC) of Russia in section 4 there is no mention of the presence of the seal of the organization as a prerequisite for the activities of legal entities. faces. But its necessity is determined by other laws of the Russian Federation. So, for example, Art. 2 of Law No. 14-FZ of 1988 "On Limited Liability Companies" determines the type and required details of the seal.

The seal of the organization must be round and contain:

– full name of the organization, its legal form (JSC, DAO, LLC, PE, etc.) in Russian;

– location of the organization (region, district, city) as defined in the Charter;

– registration number of the organization in the state register;

– registration number of the seal in the regional register of seals.

The listed details are obligatory for all business entities.

In addition, the seal of the organization may contain a company name in any language, an emblem and / ortrademark registered according to the established procedure.

– document on state registration;

– registration document;

– decision of the organization to produce the seal;

– order to appoint a leader:

-passport of the head (photocopy);

– Charter of the organization;

- power of attorney to the representative of the organization to coordinate the print sketch.

Organization may have a second seal, which differs from the first by the presence of the number "1".

If the main seal is lost or damaged, following the established procedure, a duplicate can be made, on which the letter “D” should appear.
